PRODUCT TERMS – USPS DATA
This Product Terms exhibit is part of and is governed by the Agreement. Capitalized terms used herein have the meanings assigned in the Agreement. Where the Agreement does not define a capitalized term used in these Product Terms, that term has the meaning given in these Product Terms or, where none is given, its ordinary meaning in the context of the API Products. Except as expressly modified herein, all other terms and obligations of the Agreement apply.
This exhibit applies to components of Output Data delivered through API Products that provide or include USPS Data (third-party licensed data) as part of the subscription in the applicable Sales Order and sets forth the Subscriber’s obligations as required by Smarty and its third-party data licensors.

Output Data Components – USPS Data: Smarty holds a non-exclusive license to access certain USPS APIs and use USPS Data, including without limitation AMS, DPV, SuiteLink, LACSLink, ZIP+4, and RDI (“USPS Data”). Smarty may use USPS Data to provide its Subscription Services. Subscriber receives USPS Data only as part of the Output Data returned by an active subscription to applicable US Address API Products. The following terms apply solely to Subscriber’s use of US Address API Products that incorporate USPS Data. By using these products, Subscriber agrees to comply with all terms, restrictions, and obligations applicable to USPS Data. | |
USPS Data Compliance. Subscriber has no direct access to USPS APIs, databases, reference files, or raw USPS Data. All USPS Data is provided solely through Output Data returned by the subscribed API Products which is processed exclusively by Smarty. Subscriber must: (i) use Output Data only in accordance with these Product Terms; (ii) apply reasonable administrative, technical, and physical safeguards to protect USPS Data from unauthorized access; and (iii) promptly report any misuse or issues that could affect security or compliance with USPS requirements. Permitted Use. Subscriber may use USPS Data only for its Internal Business Purposes and in accordance with the Agreement and all applicable USPS requirements. Prohibited Uses. Subscriber must not: (i) submit fictitious, artificial, or non-deliverable addresses for the purpose of extracting, compiling, or “scraping” USPS Data; (ii) resell, redistribute, relicense, republish, publicly disclose address lists, or otherwise make available any USPS Data to third parties, except as expressly authorized in writing by Smarty; (iii) use USPS Data to create, improve, or augment any address database, mailing list, or address-related product that competes with Smarty or any USPS licensed products; (iv) extract, reverse engineer, reassemble, scrape, or attempt to recreate USPS source files, USPS Data, or proprietary USPS datasets; (v) remove, obscure, or fail to preserve any proprietary notices, legends, or required USPS attributions; (vi) develop, implement, or practice any invention, idea, or concept, whether patentable or not, that is based on USPS Data; or (vii) compile delivery point lists, mailing lists, or address databases not already in Subscriber’s lawful possession. The prohibited uses stipulated herein do not limit the prohibited uses stipulated in the Agreement. Ownership, Confidentiality, and Intellectual Property. USPS Data is confidential and proprietary to the United States Postal Service. Subscriber must maintain all USPS Data in confidence and may use or disclose only as permitted by these USPS terms and the Agreement. USPS retains all rights in USPS Data and all associated intellectual property, including copyrights, trademarks, service marks, trade secrets, and patents. Subscriber may not alter, remove, misuse, or obscure any USPS marks or proprietary notices, and must not claim or imply that USPS endorses, certifies, approves, or sponsors Subscriber’s products or services. USPS is a third-party beneficiary of these terms and may enforce them directly against Subscriber or any end user. Liability and Disclaimer. Subscriber is liable to Smarty for any damages, claims, or costs that Smarty incurs as a result of Subscriber’s failure to comply with the obligations related to USPS Data, including those resulting from any third-party demands, costs, or damages arising from such noncompliance. Neither Smarty nor USPS shall be liable for any defects, performance issues, or other inadequacies in the USPS Data. This disclaimer supplements any other warranties or disclaimers in the Agreement. Any pricing for products or services that incorporate USPS Data is determined by Smarty and is not controlled, approved, or endorsed by USPS or the U.S. Government. Subscriber may not claim USPS CASS certification unless separately certified by USPS and acknowledges that use of USPS Data does not, by itself, qualify any mailing for USPS postage discounts. Term and Termination. USPS Data may be used only during the Subscription Term specified in the applicable Sales Order. Upon expiration or termination of the subscription, all rights to access the US Address API Products and any USPS Data immediately cease, unless expressly renewed by Subscriber through a new or extended subscription and payment of applicable fees. Smarty may suspend or terminate Subscriber’s access to USPS Data if (i) USPS revokes or limits Smarty’s right to distribute USPS Data; (ii) Subscriber breaches these USPS Data terms, or (iii) the Agreement or applicable Sales Order is terminated or expires. Survival of Obligations. All restrictions, compliance requirements, and third-party obligations in these Product Terms continue to apply to any USPS Data stored after termination or suspension of the subscription. | |

This exhibit applies to the US Autocomplete API Product subscribed to in the applicable Sales Order and sets forth the Subscriber’s obligations with respect to Smarty and its third-party data licensors.

“US Autocomplete API Product” means Smarty’s API Products that accept partial US address input from a human end user, including keystroke-by-keystroke entry within online forms, and return real-time address suggestions to automatically complete street addresses, including structured address data, such as street, city, state, and postal code. Restrictions & Acceptable Use. Subscriber shall not perform bulk, automated, scripted, computer-assisted, or other non-interactive requests, including the use of bots, scripts, prefilled fields, or similar mechanisms, and may only submit requests initiated by natural persons. Subscriber may only use the US Autocomplete API Product for Internal Business Purposes, which may include embedding the permitted US Autocomplete API Product within the Subscriber’s website or application to process data and display results to human end users interacting with Subscriber’s interface. Subscriber’s Internal Business Purposes expressly exclude resale, sublicensing, redistribution, public display, or providing any portion of the US Autocomplete API Product or Output Data to third parties in standalone or extractable form. The prohibited uses stipulated herein do not limit the prohibited uses stipulated in the Agreement. End-User Obligations. Subscriber is responsible for ensuring its end-users’ use of the US Autocomplete API Product complies with these Product Terms. Without limiting the foregoing, Subscriber shall ensure that its end-users do not use automated, scripted, bulk, or non-interactive means to access or interact with the US Autocomplete API Product or any interface that calls the US Autocomplete API Product, including through bots, scripts, prefilled fields, or similar mechanisms. IP Address Collection. The US Autocomplete API Product collects the IP address of Subscriber’s end users. Smarty's processing of IP addresses, including the purposes of processing and retention period, is governed by any data processing agreement between the parties and otherwise by Smarty's Privacy Policy. Where Subscriber has elected Enhanced Data Privacy, retention is limited as described in that agreement. Termination & Data Usage. Smarty may suspend or terminate access in accordance with the Agreement. Output Data is intended solely for real-time display to human end users interacting with the Subscriber’s interface and may not be used to create independent databases or for any purpose beyond interactive address completion. | |

Output Data Components – High-Accuracy Geocode Data: The API Products subject to these Product Terms use third-party Licensed Data to generate Output Data delivered to Subscribers, which includes high-accuracy geocode data. High-accuracy geocode data consists of latitude, longitude, and a precision value indicating the accuracy of the coordinates (e.g., rooftop, parcel, or street level). Subscribers without a subscription to API Products that include a license for high-accuracy geocode data will receive the same fields with approximated precision values (e.g. “ZIP 8”, “ZIP 9”). Output Data also includes address, postal, and other third-party data and remains subject to all applicable third-party restrictions and obligations. | |
Use and Restrictions: Subscriber’s use of Output Data is governed by the Agreement. The following additional restrictions apply specifically to high-accuracy geocode data delivered through the API Products: Unless expressly authorized in writing by Smarty, Subscriber must not: (i) use high-accuracy geocode data for any purpose other than Internal Business Purposes; (ii) modify, redistribute, resell, sublicense, publish, or make high-accuracy geocode data available to any third party; (iii) remove or obscure proprietary notices or copyright attributions; (iv) create or enhance standalone geocoding, reverse-geocoding, address verification, or mapping datasets; or (v) create derivative datasets or products that replicate, substitute, compete with, or incorporate high-accuracy geocode data with external data. The prohibited uses stipulated herein do not limit the prohibited uses stipulated in the Agreement. E-911 Disclaimer. Without limiting any high-risk or excluded-application provisions of the Agreement, high-accuracy geocode data is not designed or warranted for use in E-911 systems or emergency vehicle dispatch. Smarty will not be liable for any use of high-accuracy geocode data in emergency response contexts, as inaccuracies or incomplete records could compromise critical functions. | |
Post-Termination Retention of High-Accuracy Geocode Data (Optional Perpetual Use License): Perpetual Use License. If purchased, the perpetual use license allows Subscriber to retain a static copy of high-accuracy geocode data delivered during the Subscription Term for Internal Business Purposes only. Retained data remains subject to all applicable use restrictions, confidentiality obligations, and third-party licensor terms. This right does not include updates, corrections, enhancements, or access to new data generated after the Subscription Term and does not constitute an ongoing subscription or license to new data. Retention and Deletion. Subscriber may retain and use high-accuracy geocode data only during the Subscription Term (including any renewal of, or successive Sales Order for, the same API Products), unless Subscriber has purchased the perpetual use license. Upon expiration or termination of the applicable Subscription Term, the applicable Sales Order, or the Agreement, and absent a perpetual use license, Subscriber shall: (i) immediately cease all use of the high-accuracy geocode data; (ii) delete or destroy all copies of the high-accuracy geocode data in its possession or control within thirty (30) days; and (iii) deliver to Smarty a written certification of such deletion or destruction, signed by an officer or other authorized representative of Subscriber, no later than forty (40) days after such expiration or termination (or, if Smarty requests certification after that date, within ten (10) days after such request). Subscriber may retain copies of high-accuracy geocode data to the extent required by applicable law or held in automated backup or archival systems from which they are not readily retrievable, provided that such copies remain subject to these Product Terms and the Agreement, are not accessed or used for any purpose, and are deleted in the ordinary course of Subscriber's retention cycle. This Section survives the expiration or termination of the Agreement. Commercial Terms. Availability, scope, and pricing for the perpetual use license may vary by API product and plan and are set forth in the applicable Sales Order. | |

Output Data Components – US Address Enrichment Data: The API Products subject to these Product Terms use third-party Licensed Data to generate Output Data delivered to Subscribers, which includes “US Address Enrichment Data.” Output Data may also include address, postal, and other third-party data and remains subject to all applicable third-party restrictions and obligations. | |
Subscriber’s access to and use of US Address Enrichment Data is governed by the Agreement, including, without limitation, the provisions of the Agreement titled “License to Data” and “Subscriber Responsibilities and Usage Restrictions”. These Product Terms apply only to the extent they impose data-specific limitations or clarifications not otherwise set forth in the Agreement. 1. Scope of Permitted Use. For purposes of the provisions of the Agreement governing Internal Business Purposes and permitted use of data, “Internal Business Purposes,” as applied to US Address Enrichment Data, exclude any use that enables consumer-facing, consumer-initiated, or name-based queries, or results in external-facing products, services, datasets, analytics, valuations, or models derived from the US Address Enrichment Data. Incorporation of US Address Enrichment Data into internal tools or models is permitted solely where such tools or models are strictly internal and not made available to any third party. 2. Usage Limits. 2.1. US Property Data. Unless otherwise authorized in writing in a Sales Order, Subscriber shall not exceed 500,000 API lookups per day to the US Property Data product through the US Address Enrichment API. 2.2. US Business Data. The following usage guidelines and limits apply to the US Business Data product. The initial call for a particular input address returns a summary response with the business name with an associated record number for businesses at the input address. A call using a record number for a business returns a detailed record with granular information about the specified business. The initial call does not count against the subscription's lookup allotment, whereas calls using record numbers do count against the subscription’s lookup allotment. It is expected that an initial call using the address will be followed by one or more calls using a record number to return a detailed record. The Subscriber’s initial call count must not be significantly higher than the detailed record call count. To guard against data extraction and address compilation in violation of Smarty’s use restrictions and to achieve intended commercial results, Smarty may suspend Subscriber’s US Business Data subscription if the number of initial calls is significantly higher than the number of detailed record calls.
Consumer-Direct Use: Directly or indirectly, in any consumer-facing, consumer-accessible, or consumer-marketed product, service, platform, or offering, including to support name-based, household-based, or individual-level queries, searches, matching, or identity determination. Except where the primary US Address Enrichment Data fields are not displayed, Subscriber may use aggregate, anonymized, or non-identifying metrics inferred from such data, provided the use does not enable lookup, identification, verification, or profiling of any individual or household. Disclosure or Extraction. Disclose, deliver, disseminate, reproduce, or selectively extract data elements from the US Address Enrichment Data except as expressly permitted under the Agreement. Geographic Redistribution. Sublicense, resell, relicense, or redistribute the US Address Enrichment Data, in whole or in part, to any entity domiciled outside of the United States or Canada. Improper or Harmful Use. Use the US Address Enrichment Data in any manner that is defamatory, trade libelous, unlawfully threatening, or unlawfully harassing. Comparative Publications. Publish or publicly disclose the results of any comparison of the US Address Enrichment Data to other data. Consumer Information Access Controls. Permit access to consumer information contained in the US Address Enrichment Data except to individuals with a legitimate need-to-know in connection with Subscriber’s business, who are bound to comply with consumer privacy rights and fair information practices. 4. FCRA and Eligibility-Based Restrictions. The restrictions set forth in this section apply solely to US Address Enrichment Data. Notwithstanding any permitted Internal Business Purpose, Subscriber shall not use the US Address Enrichment Data as a factor in: (i) establishing eligibility for credit or insurance; (ii) employment-related decisions; (iii) determining eligibility for a governmental license or benefit; or (iv) any manner that would cause the data to be deemed a “consumer report” under the Fair Credit Reporting Act (15 USC. §1681 et seq.) or similar law. Subscriber may supplement internal underwriting records with US Address Enrichment Data, provided such use does not result in treatment of the data as a consumer report. 5. Regulated Data Classification and Confidentiality (GLBA). To the extent the US Address Enrichment Data includes nonpublic personal information of consumers as defined by the Gramm-Leach-Bliley Act (15 USC. § 6801 et seq.) and its implementing regulations or guidelines (“GLBA Data”), such GLBA Data constitutes Confidential Information under the Agreement. Subscriber shall protect GLBA Data in accordance with the confidentiality, safeguarding, use-restriction, and disclosure obligations set forth in the “Confidentiality” section of the Agreement and any applicable data security provisions of the Agreement, which are incorporated herein by reference. Subscriber shall implement administrative, technical, and physical safeguards for GLBA Data consistent with the requirements of the Gramm-Leach-Bliley Act Safeguards Rule. 6. Marketing and Jurisdictional Compliance. Where US Address Enrichment Data is used in connection with marketing or outreach activities, Subscriber shall promptly cease use of any consumer information upon request by the consumer or Smarty. Subscriber acknowledges that certain jurisdictions impose restrictions on marketing based on public-record real property data and Subscriber assumes sole responsibility for compliance with such jurisdiction-specific requirements. 7. Valuation and Property Data Disclaimer. Any valuation-related or property attribute outputs provided through the US Address Enrichment API are statistical estimates only and are not appraisals, title opinions, title commitments, title insurance, or warranties of title. 8. Disclaimer and Warranties. The products and data described herein are provided subject to the warranty disclaimers set forth in Section [12.5] of the Agreement. 9. Order of Precedence. Order of Precedence. In the event of a conflict between these Product Terms and the Agreement, the terms of the Agreement shall control unless expressly stated otherwise in these Product Terms or an applicable Sales Order. | |

Any unauthorized use, disclosure, or reproduction of the Data Products may cause irreparable harm for which monetary damages may be inadequate, and Smarty and its licensors shall be entitled to injunctive relief in addition to any other available remedies. | |
| Confidentiality and Protection Obligations. Except as expressly permitted, Subscriber shall treat the Data Products as Confidential Information; will not permit third-party use, whether commercial or otherwise; will not publicly display or post Data Products; shall implement reasonable measures to prevent unauthorized access to the Data Products during and after the Subscription Term; and will not develop, or have developed, any product based on or competitive with the Data Products. | |
Compliance with Laws. Subscriber represents and warrants that its use of the Data Products will comply with all applicable federal, state, local, and foreign laws, regulations, and industry standards, including, without limitation: USPS postal regulations and National Change of Address (NCOA) mailing guidelines; Direct Marketing Association’s (DMA’s) guidelines including the “Do Not Mail List”; Deceptive Mail Prevention and Enforcement Act (DMPEA); and CAN-SPAM Act, COPPA, HIPAA, applicable state registry and anti-spam laws. Subscriber agrees to comply with DMA and USPS requirements regardless of membership status and acknowledges sole responsibility for determining the applicability of such laws. Subscriber shall not use the Data Products to determine eligibility for credit, insurance, employment, or similar purposes governed by the Fair Credit Reporting Act (15 U.S.C. §1681 et seq.) or similar laws; or in violation of privacy obligations under the Gramm-Leach-Bliley Act (15 U.S.C. §6801 et seq.) or similar statutes. Subscriber may not voluntarily produce or disclose the Data Products in any legal or regulatory proceeding without Smarty’s prior written consent, unless legally compelled. | |
| Limited Warranty. The Data Products are provided on an “as is” basis. Smarty warrants solely that the address information corresponds to Smarty’s database as of its most recent update. Except for this limited warranty, Smarty disclaims all other express or implied warranties, including warranties of merchantability and fitness for a particular purpose. | |

| Description of Data Products. These Product Terms apply to Smarty’s US Parcel Boundary Data, a structured dataset of nationwide parcel boundaries with associated informational attributes. Data includes parcel boundaries, parcel IDs, standardized ownership and address information, tax assessment fields, land use codes, building counts, and related attributes, updated on a monthly rolling basis. The Data Products incorporate Licensed Data sourced from Smarty’s third-party data licensor(s). | |
Permitted Uses and Restrictions. Subject to the Agreement and these Product Terms, Subscriber may use the Data Products for:

| Retention and Deletion of Data Products. Subscriber may retain and use the Data Products only during the Subscription Term (including any renewal of, or successive Sales Order for, the same Data Products), and only with respect to Data Products delivered during that Subscription Term. Upon expiration or termination of the applicable Subscription Term, the applicable Sales Order, or the Agreement, Subscriber shall immediately cease all use of the Data Products and shall not enter into any new End User license or grant any new End User access; provided that Subscriber may continue to perform under End User licenses in effect as of that date, solely as necessary to fulfill its outstanding obligations under them and subject to the Agreement and these Product Terms. Within thirty (30) days after that date — or, where Subscriber continues to perform under End User licenses, within thirty (30) days after expiration of the last such license — Subscriber shall delete or destroy all copies of the Data Products in its possession or control, including any copies loaded into its systems or databases, any extracts or subsets, and any records or datasets into which the Data Products have been incorporated, and shall cause each End User to do the same and delete or destroy any such copies within Subscriber's control; and within ten (10) days thereafter (or, if Smarty requests certification later, within ten (10) days after such request) Subscriber shall deliver to Smarty a written certification to that effect, signed by an officer or other authorized representative of Subscriber. Subscriber may retain copies of the Data Products to the extent required by applicable law or held in automated backup or archival systems from which they are not readily retrievable, provided that such copies remain subject to these Product Terms and the Agreement, are not accessed or used for any purpose, and are deleted in the ordinary course of Subscriber's retention cycle. Exclusion of Warranties and Limitation of Liability. The Licensed Data is provided on an “as is” basis. Subscriber shall not perform bulk, automated, scripted, computer-assisted, or other non-interactive requests, including the use of bots, scripts, prefilled fields, or similar mechanisms, and may only submit requests initiated by natural persons. Subscriber may only use the Autocomplete API Products for Internal Business Purposes, which may include embedding the permitted Autocomplete API Product within the Subscriber’s website or application to process data and display results to human end users interacting with Subscriber’s interface. Subscriber’s Internal Business Purposes expressly exclude resale, sublicensing, redistribution, public display, or providing any portion of the Autocomplete API Product or Output Data to third parties in standalone or extractable form. End-User Obligations. Subscriber is responsible for ensuring its end-users’ use of the API Product complies with these Product Terms. Without limiting the foregoing, Subscriber shall ensure that its end-users do not use automated, scripted, bulk, or non-interactive means to access or interact with the API Product or any interface that calls the API Product, including through bots, scripts, prefilled fields, or similar mechanisms. IP Address Collection & Privacy. Certain API Products collect the IP address of end users of Subscriber for purposes including improving the relevance of results, providing contextually appropriate responses, maintaining the security and integrity of the Subscription Services, preventing unauthorized or abusive usage, and complying with applicable legal and security obligations, IP addresses are processed in accordance with Smarty’s Privacy Policy and where applicable, the DPA. Subscriber may access the Licensed Data provided through the API Product only in accordance with their subscription. Use Restrictions. Subscriber acknowledges that Licensed Data includes data licensed from third-party suppliers, each of which may impose usage restrictions. The applicable third-party supplier terms, form a binding part of these Product Terms with respect to the Licensed Data. Smarty will provide notice of any material updates to such third-party supplier terms, and Subscriber agrees to comply with any such updated terms upon notice. Intellectual Property Rights. All intellectual property rights in the Licensed Data are owned by the applicable third-party supplier and its licensors. Subscriber acknowledges that the Licensed Data reflects substantial investment and may be protected by database rights, including under the European Union Database Directive 96/9/EC and similar laws. To the extent required by Smarty’s agreements with such third-party suppliers, those suppliers may enforce their intellectual property rights directly against Subscriber with respect to Subscriber’s use of the Licensed Data. Subscriber agrees, at the third-party supplier’s expense, to reasonably cooperate in the protection of such rights. Subscriber shall not initiate any legal action relating to such rights without prior written consent from Smarty (such consent not to be unreasonably withheld where required by law). Third-Party Liability. The third-party suppliers shall not be liable for any use, manufacture, production, distribution, advertising, or promotion by Subscriber of the Licensed Data, except to the extent directly caused by inaccuracies in the Licensed Data as provided by such supplier. Termination and Suspension. Notwithstanding the termination provisions of the Agreement, the availability of Licensed Data may be discontinued if required by Smarty’s third-party data licensors, including: (i) upon at least three (3) months’ prior written notice where an upstream supplier revokes the right to sublicense the Licensed Data; or Smarty shall provide prompt notice to Subscriber of any such discontinuation. Subscriber may continue to use the Licensed Data until the end of the then-current Subscription Term unless otherwise required by the applicable third-party licensor. |

Conditions of Use. Without limiting the Permitted Use: (i) Copies of the Licensed Data are permitted only as reasonably necessary for backup, security, business continuity, or system testing. (iii) Cleansed data derived from the Licensed Data may only be shared with third parties where expressly authorized, including in connection with approved Bureau Services, and subject to all applicable restrictions on use, representation, and database completeness. Except as expressly permitted by the Agreement or these Product Terms, the Subscriber shall not transfer, assign, sublicense, sell, create, or otherwise exploit the Licensed Data. Intellectual Property Rights. Subscriber acknowledges that Royal Mail is the owner of the intellectual property rights in each of PAF® Data, Not Yet Built and Multiple Residence and the associated brands (as relevant) and it does not acquire and is not granted any rights to use those intellectual property rights other than as set out in this Agreement and in these terms. Bureau Services and Bureau Customers. “Bureau Services” means any service where a Subscriber processes Licensed Data on behalf of another organization. “Bureau Customer” means the organization whose data is processed by the Subscriber in connection with Bureau Services. Use Restrictions: Bureau Services and the provision of Cleansed Data to Bureau Customers are permitted only with prior written authorization from Smarty. The Subscriber must ensure that all such use complies with these Product Terms. Closed User Groups. “Closed User Group” means a controlled network of authorized users managed by the Subscriber or Group Owner for internal or multi-organization access. “Group Member” means an authorized participant in a Closed User Group. “Group Owner” means the Subscriber controlling access to the Closed User Group. “Group Purpose” means the business purpose for which access to the Licensed Data is granted within a Closed User Group. Use Restrictions: Establishment or use of a Closed User Group is permitted only with prior written authorization from Smarty. The Subscriber must ensure compliance with these Product Terms and allow Smarty to audit usage. |
